Objectives of the course
The main objective of the subject is to present, explain and illustrate corpus of questions related to the establishment and operation of companies, their connection and reorganization, and the manner of termination of companies through bankruptcy and liquidation. In this way, students will acquire practical knowledge in order to be successfully involved in company business in the country, as well as in the European Union.
Students acquire practical knowledge, dealing with hypothetical situations from the business of companies, similar to those they will encounter in their professional lives.
Content of the subject
The concept and subject of Company Law. The relationship of Company law to other branches of law. Historical development of Company Law. Sources of Company Law. Companies as a Company Law Firm. Systems for establishing companies. Requirements for the establishment of companies. Status characteristics of companies. Classification of companies. Association of persons (partnership, limited partnership). Societies of capital (limited liability company, joint-stock company). Economic associations, networking and reorganization of companies. Liability for legal obligations taken over. Individualization of legal entities in legal transactions. Sources of Company Law of the European Union (primary and secondary).
